These Terms of Service ("Terms") govern your access to and use of the 786 Cyber platform and services ("Services") provided by 786 Cyber Limited ("786 Cyber", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
1. Service Description
1.1 Platform Overview
786 Cyber provides a cloud-based cybersecurity SaaS platform designed for small and medium-sized enterprises (SMEs) and managed service providers (MSPs) that do not have a dedicated in-house security team. The platform includes, but is not limited to:
- AI-powered Compliance Wizard and Compliance Vault
- Policy Vault and automated policy generation
- Controls Vault with AI-assisted recommendations
- Asset management and inventory tools
- Vulnerability scanning and risk assessments
- Reporting and board-level summaries
1.2 Service Availability
We will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, excluding planned maintenance windows. We do not guarantee uninterrupted availability and accept no liability for downtime beyond our reasonable control.
1.3 Service Changes
We reserve the right to modify, suspend, or discontinue any feature of the Services at any time. We will provide reasonable notice of material changes where practicable.
2. User Accounts
2.1 Registration
To access the Services, you must register for an account by providing accurate, current, and complete information. You agree to keep your account information up to date.
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@786cyber.com if you suspect any unauthorised access to your account.
2.3 Organisational Accounts
Where you register on behalf of a business or organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In such cases, "you" refers to both you individually and the organisation.
2.4 Account Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. Our Services are intended for business use and are not directed at consumers.
3. Acceptable Use
3.1 Permitted Use
You may use the Services solely for your internal business purposes in accordance with these Terms and applicable law.
3.2 Prohibited Activities
You must not:
- Use the Services for any unlawful purpose or in violation of any applicable regulations
- Attempt to gain unauthorised access to any part of the Services or its underlying infrastructure
- Upload, transmit, or store malicious code, viruses, or harmful content
- Reverse engineer, decompile, or disassemble any part of the platform
- Resell, sublicense, or otherwise commercialise access to the Services without our prior written consent
- Use the Services to conduct penetration testing or offensive security activities against systems you do not own or have explicit written permission to test
- Circumvent or attempt to circumvent any usage limits, rate limits, or access controls
- Impersonate another person or organisation
- Use automated tools to scrape, extract, or harvest data from the platform
3.3 Consequences of Misuse
We reserve the right to suspend or terminate your account immediately and without notice if we reasonably believe you have violated this section.
4. Payment Terms
4.1 Subscription Plans
We offer the following subscription tiers:
- Access to core platform features as defined on our pricing page
- No credit card required
- Subject to usage limits as published on our website
- We reserve the right to modify free plan features at any time
- Full access to all platform features released to the Pro tier
- Billed monthly or annually as selected at checkout
- Pricing as published at https://786cyber.com/pricing
- Custom pricing based on organisational requirements
- Includes dedicated storage, advanced integrations, and priority support
- Governed by a separate Order Form or Enterprise Agreement
4.2 Billing and Payment
- All fees are quoted and charged in GBP (£) unless otherwise agreed
- Payment is due in advance for each billing period
- We use Stripe as our payment processor; by providing payment details, you agree to Stripe's terms of service
- All fees are exclusive of VAT, which will be charged where applicable
4.3 Renewals and Cancellations
- Subscriptions renew automatically unless cancelled before the renewal date
- You may cancel your subscription at any time via your account settings; cancellation takes effect at the end of the current billing period
- No refunds are provided for partial billing periods unless required by law
4.4 Late Payment and Non-Payment
- We reserve the right to suspend access to the Services for accounts with outstanding unpaid invoices
- Accounts overdue by more than 30 days may be terminated
4.5 Price Changes
We will provide at least 30 days' written notice of any price increases. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.
5. Intellectual Property
5.1 Our Intellectual Property
The Services, including all software, algorithms, AI models, designs, trademarks, and content created by 786 Cyber, are and remain the exclusive property of 786 Cyber Limited. Nothing in these Terms transfers any intellectual property rights to you.
5.2 Your Data and Content
You retain ownership of all data, documents, and content that you upload to or generate within the Services ("Customer Data"). You grant us a limited, non-exclusive licence to process and store Customer Data solely for the purpose of providing the Services to you.
5.3 AI-Generated Outputs
Outputs generated by our AI features (including compliance roadmaps, policy drafts, and control suggestions) are provided as guidance only. You are responsible for reviewing, validating, and taking ownership of any AI-generated content before use. We make no representation that AI outputs constitute legal, regulatory, or professional advice.
5.4 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a royalty-free, perpetual licence to use such feedback for any purpose without obligation to you.
6. Data Protection
6.1 Compliance with Data Protection Law
Both parties agree to comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
6.2 Roles
- Where we process personal data on your behalf as part of providing the Services, we act as a data processor and you act as the data controller.
- Where we process personal data for our own purposes (e.g., account management, billing), we act as the data controller.
6.3 Data Processing Agreement
Our processing of personal data on your behalf is governed by our Data Processing Agreement (DPA), which forms part of these Terms and is available at https://786cyber.com/dpa. By accepting these Terms, you also accept the DPA.
6.4 Security
We implement appropriate technical and organisational measures to protect Customer Data against unauthorised access, loss, or disclosure, in accordance with industry standards and our obligations under UK GDPR.
6.5 Sub-processors
We use trusted third-party sub-processors (including Google Firebase and Anthropic) to deliver the Services. A current list of sub-processors is available on request and maintained at https://786cyber.com/sub-processors.
7. Confidentiality
7.1 Mutual Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.
7.2 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was known to the receiving party before disclosure; (c) is independently developed; or (d) is required to be disclosed by law or court order.
8. Limitation of Liability
8.1 Disclaimer of Warranties
The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.2 Limitation of Liability
To the fullest extent permitted by applicable law:
- Our total aggregate liability to you arising under or in connection with these Terms shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) £500.
- We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
8.3 Exceptions
Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded under applicable law.
8.4 Cybersecurity Disclaimer
786 Cyber is a platform to assist with compliance and security management. We do not guarantee that use of the Services will make your organisation immune to cyberattacks, data breaches, or regulatory penalties. You remain solely responsible for your organisation's security posture.
9. Termination
9.1 Termination by You
You may terminate your account and these Terms at any time by cancelling your subscription and ceasing use of the Services.
9.2 Termination by Us
We may terminate or suspend your access to the Services immediately if:
- You breach these Terms and fail to remedy the breach within 14 days of written notice
- You become insolvent, enter administration, or are subject to analogous proceedings
- We are required to do so by law or court order
9.3 Effect of Termination
Upon termination:
- Your right to access the Services ceases immediately
- We will retain your Customer Data for 30 days following termination, during which you may request an export
- After 30 days, we will securely delete your Customer Data unless we are required by law to retain it
- Any outstanding fees remain due and payable
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
10.2 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
10.3 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting the other party in writing and allowing 30 days for a good-faith response.
11. General Provisions
11.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Order Form or DPA, constitute the entire agreement between the parties relating to the Services and supersede all prior agreements and understandings.
11.2 Amendments
We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
11.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
11.4 Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
11.5 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.
11.6 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, or failures of third-party infrastructure.
